Job Description

Senior corporate attorney advising renewable energy developers, investors, and companies on sophisticated transactions. Leading financings, joint ventures, governance, and strategic corporate matters at Clean Energy Counsel.

Responsibilities:

  • Advise clean energy companies, project developers, investors, private equity funds, and other clients on complex corporate and transactional matters
  • Advise clients throughout the business lifecycle
  • Lead and support reorganizations, restructurings, and other corporate strategic transactions
  • Structure and negotiate equity financings, private equity investments, and other capital-raising transactions
  • Structure and negotiate joint ventures, strategic partnerships, and other commercial arrangements
  • Advise on corporate governance, entity formation, capitalization, shareholder and partnership matters, and related corporate issues
  • Identify legal and business risks and develop practical, creative solutions advancing clients’ objectives
  • Supervise and mentor junior attorneys and other deal-team members
  • Contribute to development of Clean Energy Counsel’s corporate practice, client relationships, and new business generation
  • Stay current on legal, regulatory, and market developments affecting corporate transactions and the clean energy industry
  • Adhere to firm policies, practices, and priorities
  • Perform other duties as requested by firm management

Requirements:

  • 5+ years of experience at a law firm
  • Experience serving clients in the renewable energy and related industries
  • Experience leading or substantially contributing to complex financing, joint venture, private equity, or other strategic transactions
  • Strong drafting, negotiation, analytical, and client-management skills
  • Ability to serve as the senior, lead attorney on complex financing transactions with minimal oversight
  • Strong organization, communication, planning, and project management skills
  • Ability to simultaneously handle a variety of complex matters under strict deadlines and pressure
  • Ability to work and collaborate effectively in a remote work environment
  • Admission to and in good standing with the Bar of the applicant’s state of residence
