Job Description
Contract Analyst reviewing, negotiating, and administering agreements for employee-owned environmental consulting firm Stillwater Sciences. Managing contractual risks, subconsultant contracts, insurance records, and compliance processes.
Responsibilities:
- Review and analyze client, prime, and subcontract agreements to identify contractual obligations, risks, and key terms
- Evaluate indemnification, intellectual property, payment, insurance, and confidentiality provisions
- Evaluate prime contract and client contract provisions for consistency and applicability
- Compare agreed-to terms from previous contracts with new contracts
- Evaluate flow-down provisions when Stillwater is a subcontractor
- Review standard agreements in requests for proposals and draft requested edits or additions
- Identify unacceptable terms and draft alternative language with rationale and responses
- Work with signatories and project managers to negotiate acceptable contract terms
- Develop and maintain standard contract language, templates, and negotiation guidelines with stakeholders and counsel
- Interpret and communicate complex contract terms to non-legal stakeholders
- Develop and maintain organized contract records and operational processes
- Process contracts and amendments for project setup and document management
- Support project managers with preparation, execution, and administration of subconsultant agreements
- Manage Certificates of Insurance and insurance-related requests with an insurance broker
- Coordinate directly with client and subconsultant project managers and/or contract analysts
- Recommend process improvements to improve efficiency and consistency
Requirements:
- Bachelor’s degree in business, English, or legal-related field of study
- Minimum of three years’ experience processing contracts with progressively increasing responsibilities, including reviewing, redlining, and negotiating with third parties
- Equivalent combination of education and experience may be considered
- Understanding of contract language, obligations, and risk concepts relevant to professional service firms
- Ability to review legal and contractual documents and understand key contract terms and conditions
- Advanced Microsoft Office skills, including Word, Excel, and Outlook
- Advanced Adobe Acrobat skills
- Ability to remain in a stationary position more than 50% of the time and operate a computer and other standard office equipment with reasonable accommodation
- Experience in contract management and familiarity with legal requirements and terms of use, particularly in California
- Experience supporting contracts within environmental consulting, architecture, engineering, construction, or other professional services organizations
- Experience reviewing public agency contracts and subconsultant agreements
- Certification or extension coursework in contract management is a plus
