Job Description

Paralegal supporting Coalfire, a cybersecurity consultancy, with partnership and procurement contracts. Managing corporate governance, entity records, filings, and board materials.

Responsibilities:

  • Review, draft, and assist in negotiating contracts for partnership and procurement transactions
  • Assist with Channel and Reseller Agreements, vendor agreements, and procurement agreements
  • Review, draft, and negotiate vendor and supplier agreements, purchase orders, software and SaaS subscription agreements, cloud services agreements, consulting agreements, referral agreements, partnership agreements, marketing agreements, distribution agreements, and technology partner agreements
  • Partner with procurement and partnership teams to ensure efficient contracting processes
  • Provide legal support for partnership and procurement contracts
  • Recommend negotiation strategies to internal business partners
  • Support internal contracting policies, guidelines, exceptions, templates, workflows, and risk controls
  • Assess contract risks and recommend mitigation approaches
  • Use GC AI, Glean, and other AI-powered tools for contract review, drafting, and legal research
  • Monitor and triage the legal inbox and respond to routine inquiries
  • Manage multiple projects and tasks while meeting deadlines and communicating with stakeholders
  • Collaborate with the legal team on solutions to complex problems
  • Support training for team members and business colleagues
  • Support risk management and litigation initiatives
  • Support corporate governance, entity records, filings, entity management, board and committee materials, resolutions, consents, and meeting minutes
  • Coordinate annual filings, registered agent services, state qualifications, and withdrawals
  • Maintain corporate minute books and governance records
  • Travel up to 10%

Requirements:

  • 3+ years of experience as a paralegal or contracts professional supporting partnership, procurement, or corporate governance functions
  • Paralegal Certificate
  • Bachelor’s degree or paralegal certificate, or equivalent combination of relevant education, training, or work experience
  • A higher-level degree, such as a Master’s or Juris Doctor, may substitute for two years of experience
  • Interest in commercial transactions, corporate governance, and the cybersecurity industry
  • Experience with Salesforce, Box, Microsoft Office Suite, Microsoft Teams, Ironclad, contract lifecycle management tools, GC AI, and Glean
  • Excellent written, verbal, and interpersonal communication skills
  • Proven organizational and analytical skills and professional business judgment
  • Ability to maintain confidentiality and exercise discretion
  • Strong drafting skills and ability to achieve consistent language across similar agreements
  • Excellent problem-solving and analytical skills
  • Proactive, attentive, and conscientious work style
