Job Description
Lead contract attorney supporting Neighborly Software’s cloud platform for government-funded housing and community programs. Drafting and negotiating SaaS, technology, and public-sector agreements while advising Sales, Product, Security, and Compliance.
Responsibilities:
- Own end-to-end drafting, review, and negotiation of sales agreements, including SaaS subscription agreements, MSAs, amendments, and state and local government contracts
- Assist with subcontractor, reseller, partner agreements, DPAs, security addenda, and SLAs
- Negotiate limitation of liability, indemnification, insurance, data privacy, security, breach-related, confidentiality, intellectual property, and data ownership provisions
- Manage multiple concurrent contracts and escalate complex or high-risk matters to the General Counsel
- Review and respond to public sector solicitations, including RFPs and RFQs
- Identify and escalate non-standard or high-risk government terms
- Support compliance with procurement rules, grant requirements, and data/security obligations
- Analyze subcontracting and flow-down provisions in partner agreements
- Partner with Sales and Finance on deal structuring, execution, and renewals
- Provide practical legal guidance and first-pass support on sales-related matters involving Product, Security, and Compliance
- Contribute to contract templates, playbooks, and standard positions
- Track recurring negotiation issues and report relevant patterns to the General Counsel
- Support internal data privacy and security compliance efforts
Requirements:
- J.D. from an accredited law school
- Active bar membership in good standing
- 7+ years of relevant experience, including commercial contracting in a law firm or in-house environment
- Direct experience with SaaS or technology agreements
- Exposure to government contracting, with state/local experience strongly preferred
- Strong drafting and negotiation skills
- Judgment to operate independently on complex matters
- Ability to manage multiple priorities and competing deadlines in a fast-paced environment
- Experience working directly with public sector clients preferred
- Familiarity with data privacy and security terms in SaaS agreements preferred
- Familiarity with SOC 2 or similar compliance frameworks preferred
- Experience with subcontracting, reseller, or partner models preferred
- Comfort advising on legal issues raised by new or emerging technology and products preferred
