Job Description

Vice President, Legal at Asurion, leading corporate governance, securities compliance, and M&A transactions. Collaborating with executive leadership to ensure compliance and legal integrity.

Responsibilities:

  • Lead all aspects of governance, including Board and committee support, governance policies, and best practices; advise on fiduciary duties, governance trends, and regulatory developments; oversee preparation of Board materials, resolutions, minutes, and corporate records; ensure compliance with corporate laws and listing standards.
  • Oversee SEC compliance matters; ensure adherence to securities laws, disclosure requirements, and insider trading policies; partner with Finance and legal leadership on investor communications and disclosures; monitor and advise on evolving regulatory requirements and corporate disclosure best practices.
  • Lead legal strategy and execution for M&A transactions, including acquisitions, divestitures, joint ventures, and strategic investments; manage due diligence, deal structuring, negotiation, and transaction documentation; coordinate cross-functional teams and external counsel for efficient deal execution; advise on post-merger integration and risk mitigation.
  • Build and lead a high-performing legal team, fostering a culture of excellence and accountability; collaborate closely with executive leadership, Finance, HR, Compliance, and business units; manage outside counsel relationships and legal budgets effectively.

Requirements:

  • J.D. from an accredited law school and active bar membership in good standing
  • 12+ years of legal experience, with a strong mix of law firm and in-house experience preferred
  • Deep expertise in corporate governance, securities law, and M&A transactions
  • Experience supporting a publicly traded company strongly preferred
  • Proven ability to lead complex transactions and advise senior executives and boards
  • Experience in the technology sector or other high-growth industries
  • Familiarity with global compliance and cross-border transactions
  • Track record of building or scaling legal functions
  • Strong business judgment and the ability to translate legal risk into practical guidance
  • Expertise in due diligence, negotiation, deal structuring, and transaction documentation
  • Outstanding communication skills, including executive-level presentation and drafting clear disclosures
  • Ability to manage complex projects, multiple stakeholders, and outside counsel to budget.
