Job Description
M&A Legal Counsel providing legal advice on corporate matters with focus on mergers and acquisitions. Engaging with internal stakeholders and advising on regulatory compliance for a publicly traded company.
Responsibilities:
- Provide day-to-day counsel and advice regarding various legal matters
- Review, evaluate and manage possible candidates for mergers and acquisitions
- Advise the company on mergers and acquisitions issues
- Draft and negotiate purchase agreements
- Assist with acquisition financing
- Manage due diligence reviews
- Interface with various Business Units
- Manage outside counsel and consultants
- Proactively identify trends and gaps in processes
- Handle other duties and projects as assigned
Requirements:
- minimum of five years of legal experience
- Juris Doctorate from an accredited law school
- Active Bar license
- Strong experience with mergers and acquisitions
- Familiarity with common contractual language
- Understanding of state, federal and other regulatory laws
- Demonstrated problem solving abilities
- Experience with SEC reporting preferred but not required
- Experience in contractual matters in a manufacturing environment preferred
