Job Description
Associate General Counsel structuring advertising, SaaS, partnership, and performance-based deals for generative AI video company Higgsfield AI. Advising global commercial teams and scaling legal operations.
Responsibilities:
- Lead complex marketing, advertising, CPA/performance-based, affiliate, media, agency, creator/influencer, and strategic partnership agreements
- Structure performance-based deals involving revenue share, commissions, attribution, payment mechanics, and other growth models
- Negotiate enterprise SaaS, API, technology licensing, and other strategic commercial agreements
- Partner with business leaders to structure new revenue and customer acquisition opportunities while balancing speed and risk
- Partner with executive leadership on strategic opportunities, new business models, and commercial risk
- Advise Marketing and Growth on advertising, campaigns, promotions, endorsements, consumer protection, and customer acquisition
- Counsel Product and GTM teams on AI, digital media, IP, privacy, data, and emerging commercialization models
- Provide practical, business-oriented guidance in a fast-moving and evolving regulatory environment
- Build scalable contracting processes for high volumes of marketing and commercial transactions
- Develop templates, playbooks, approval frameworks, and fallback positions for recurring deal structures
- Partner with Finance and Operations to establish guardrails around performance-based economics, payments, attribution, and reporting
- Help build the commercial legal team and mentor junior legal professionals
- Partner with Marketing, Growth, Sales, Partnerships, Product, Finance, Privacy, Security, and Operations
- Translate complex legal issues into clear, actionable business recommendations
- Support new products, markets, partnerships, and other high-priority strategic initiatives
- Stay ahead of developments across digital advertising, consumer protection, privacy, AI, digital media, and IP
- Report to the General Counsel
Requirements:
- J.D. from an accredited law school
- Active membership in at least one U.S. state bar
- 10+ years of legal experience
- Significant experience supporting sophisticated commercial transactions for high-growth technology, consumer, advertising, or digital businesses
- Combination of top-tier law firm and in-house experience strongly preferred
- Significant experience negotiating marketing, advertising, CPA/performance-based, affiliate, media, agency, creator/influencer, or similar commercial agreements
- Strong experience with technology transactions, including SaaS, APIs, licensing, and strategic partnerships
- Strong understanding of digital advertising, consumer protection, IP, privacy, data, and emerging technology issues
- Experience supporting AI, consumer technology, digital media, adtech, or other fast-moving technology businesses strongly preferred
- Exceptional business judgment with the ability to provide pragmatic, risk-balanced advice in ambiguous situations
- Proven ability to build scalable legal processes and support significant transaction volume
- Outstanding drafting, negotiation, communication, and stakeholder management skills
- Highly collaborative, low ego, execution-oriented, and comfortable operating independently in a fast-paced environment
- Team members are expected to be available during agreed working hours and maintain sufficient overlap with the relevant team’s time zone
