Job Description
Associate General Counsel supporting corporate governance, securities compliance, and strategic transactions for Agility Robotics’ humanoid robots. Advising leadership and managing legal risk as the company scales toward public-company standards.
Responsibilities:
- Support Board of Directors and committee governance, including preparation of Board materials and resolutions
- Maintain corporate records and oversee entity management across domestic and international subsidiaries
- Assist with implementation of public company governance practices and policies
- Advise leadership on corporate governance matters and fiduciary responsibilities
- Support development of disclosure controls and procedures
- Assist with preparation and review of public company filings, including Forms 10-K, 10-Q, and 8-K
- Coordinate with external counsel on securities law compliance and regulatory matters
- Monitor developments in securities regulations and advise internal stakeholders
- Support corporate development initiatives, including acquisitions, investments, and strategic partnerships
- Assist in negotiation and documentation of transaction agreements
- Coordinate due diligence processes and post-transaction integration from a legal perspective
- Provide legal guidance on customer, partner, and vendor contracts
- Partner with internal teams to identify and manage legal risk, including employment-related matters
- Develop and improve contract templates, policies, and internal processes
- Support internal compliance policies and training programs
- Partner with cross-functional teams to ensure adherence to regulatory requirements
- Assist with enterprise risk management initiatives and internal investigations when necessary
- Coordinate with outside counsel on corporate, securities, and transactional matters
- Manage legal budgets and ensure efficient use of external advisors
Requirements:
- Juris Doctor (J.D.) from an accredited law school
- Licensed to practice law in at least one U.S. jurisdiction
- 8–12+ years of relevant legal experience
- Corporate and securities law experience at a top law firm strongly preferred
- In-house experience at a technology company preferred
- Experience supporting public companies or IPO readiness highly desirable
- Strong understanding of corporate governance, securities regulations, and commercial transactions
- Practical, business-oriented legal advisor
- Strong communication skills and ability to translate legal complexity into clear business guidance
- Collaborative approach across Finance, Product, and Operations teams
- Highly organized with strong judgment and attention to detail
- Ability to manage multiple priorities in a fast-paced growth environment
- Current authorization to work in the United States
