Job Description
Associate General Counsel supporting HIPAA privacy, regulatory compliance, and healthcare contracts. Advising Liviniti, an employee-benefits company, on legal strategy and transactions.
Responsibilities:
- Assist the General Counsel & Compliance Officer with corporate strategic and tactical legal initiatives in the employee benefits industry
- Provide guidance to senior management and assist with managing the legal function
- Negotiate critical contracts and draft contracts, amendments, and templates
- Address edits to healthcare-related contracts, including non-disclosure, services, and data exchange agreements
- Ensure compliance with applicable laws and regulations, including entity licensing and state and federal reporting requirements
- Manage and track regulatory matters
- Educate staff on regulatory matters and legislative changes
- Draft client communications regarding state and federal regulation and legislation
- Draft and negotiate settlement agreements and matters
- Correspond with administrative and regulatory bodies and appear on the organization's behalf during administrative proceedings, as applicable
- Support internal and external audits, including annual SOC audits
- Respond to and assess reported HIPAA violations and prepare and archive related documentation
- Maintain privacy and confidentiality consent forms, authorization forms, information notices, and materials
- Oversee privacy training and orientation for employees, contractors, business associates, and other third parties
- Monitor trading partner and business associate agreements for privacy compliance
- Establish mechanisms to track access to protected health information
- Administer processes for privacy complaints, investigations, and corrective actions
- Ensure consistent application of sanctions for privacy-policy violations
- Review information security plans for alignment with privacy practices and liaise with the information systems department
- Maintain knowledge of federal and state privacy laws, accreditation standards, and information privacy technologies
- Serve as an information privacy consultant across the organization
- Report HIPAA violations to the Compliance Officer and/or Human Resources
- Complete required HIPAA training and perform other assigned duties
Requirements:
- Juris Doctor degree
- Active license to practice law in the US (must be able to provide a Certificate of Good Standing, upon request)
- Knowledge and experience in information privacy laws, access, release of information, and release control technologies
- Knowledge and experience in health information management
- Proven experience as a legal counsel in business environment
- Excellent knowledge and understanding of corporate law and procedures
- Full comprehension of the influences of the external environment of a corporation
- Demonstrated ability to create legal defensive or proactive strategies
- High degree of professional ethics and integrity
- Sound judgement and ability to analyze situations and information
- Outstanding communication skills
- Core-hours availability from 8:00AM to 5:00PM CT
- Ability to work extended hours, weekends and holidays pursuant with industry demands
