Job Description

Associate General Counsel leading privacy, product, and commercial legal work for Swoop’s AI-driven healthcare engagement platform. Advising on ad tech, data licensing, SaaS, and compliance.

Responsibilities:

  • Support and advise on commercial legal matters focused on ad tech integration, third-party data licensing and sales, technology products and services, digital media, and privacy
  • Draft and negotiate complex client and vendor commercial agreements, including MSAs, SOWs, NDAs, insertion orders, rebate agreements, service and consulting agreements, and data/software licensing agreements
  • Independently conduct and conclude negotiations with data and technology providers, platforms, publishers, and ad tech providers
  • Manage legal requests as the first point of contact for company-wide legal matters
  • Coordinate with lead counsel for Swoop affiliates to align legal and business goals
  • Implement legal and privacy workflows and create legal and compliance templates
  • Provide support and training to sales, product, and other stakeholder teams
  • Advise company teams on privacy, data use and licensing, and compliance matters
  • Mitigate legal risks in commercial contexts while working with cross-functional teams
  • Liaise with internal teams and senior leaders to provide strategic legal guidance
  • Facilitate cross-department communication and alignment with legal requirements and business objectives
  • Handle project-based work within the legal department as needed

Requirements:

  • JD from an accredited law school
  • License to practice law in at least one state, preferably California, New York, or Massachusetts
  • 6+ years of relevant work experience in a law firm or in-house setting
  • Experience with U.S. state and federal privacy laws and compliance
  • Experience with SaaS product licensing
  • Experience with third-party data licensing
  • Experience with product sales agreements
  • Conversational acumen across marketing, finance, and analytics/data science preferred
  • Experience with HIPAA/HITECH preferred
  • Experience with intellectual property matters, including licensing matters
  • Experience with global data and privacy matters a plus
