Job Description
Senior Contracts Analyst managing commercial agreements, contracting workflows, and privacy compliance. Supporting PowerSchool’s cloud-based K–12 education software business.
Responsibilities:
- Serve as a primary point of contact for commercial legal requests, triaging priorities and escalating complex issues as needed
- Own the review, drafting, and negotiation of a high volume of commercial agreements
- Review and edit sales and renewal quotes for contractual and commercial consistency
- Partner with Sales, Procurement, Compliance, and Legal stakeholders to resolve contractual and business issues
- Prepare contractual responses to requests for proposals (RFPs) and requests for information (RFIs)
- Identify risks and recommend commercially practical solutions with attorneys and senior team members
- Support contract lifecycle management processes, including maintaining templates, extracting key terms, and managing executed agreements within contract systems
- Improve contracting workflows, templates, and processes for efficiency and scalability
- Support privacy and regulatory compliance efforts by addressing data protection and information security considerations in agreements
- Take on additional responsibilities and projects supporting the Legal team’s strategic objectives
Requirements:
- 3–5 years of experience drafting, reviewing, and negotiating commercial agreements in a law firm or in-house legal environment
- Bachelor’s degree or equivalent practical experience
- Proven ability to independently manage a high volume of commercial contracts, including Master Services Agreements (MSAs), professional services agreements, SaaS and software license agreements, Statements of Work (SOWs), non-disclosure agreements (NDAs), partnership, procurement, and vendor agreements
- At least one of the following privacy certifications: CIPT, CIPP (any jurisdiction), CIPM, or AIGP
- Strong analytical and problem-solving skills, with the ability to identify risks and propose practical solutions
- Excellent written and verbal communication skills, with the ability to collaborate across functions and levels
- Strong attention to detail and ability to manage multiple priorities in a fast-paced environment
- Experience identifying basic privacy and information security issues in commercial agreements
- Experience with technology contracting, particularly in SaaS or software environments
- Working knowledge of data privacy laws and privacy-related agreements
- Familiarity with intellectual property and technology licensing concepts
- Experience negotiating service level agreements (SLAs) or agreements involving emerging technologies such as AI
- Experience with contract lifecycle management tools and systems (e.g., Salesforce, CLM platforms, Jira, Fresh Service, Coupa)
