Job Description
Senior Corporate Counsel for PartnerOne negotiating enterprise software agreements and supporting sales teams. Collaborative role in a dynamic, fast-growing business environment.
Responsibilities:
- Draft, review, and negotiate a wide range of commercial agreements, including:
- Enterprise software license agreements (including on-premise license models)
- Cloud services agreements (SaaS and other cloud services)
- Agreements with resellers, VARs (Value-Added Resellers), OEMs, and other distribution partners
- Professional services agreements
- Support sales and commercial teams in negotiating agreements with customers and partners.
- Advise company stakeholders on contract structure, risk allocation, and negotiation strategies.
- Manage multiple negotiations simultaneously in a high-volume commercial environment.
- Collaborate with sales, finance, operations, and product teams to resolve commercial issues and facilitate deal closings.
- Participate in the management of commercial disputes and escalations, working with external counsel when necessary.
Requirements:
- Minimum of 7 years of relevant legal experience.
- Experience negotiating contracts related to enterprise software, including software license agreements and SaaS agreements with corporate customers.
- Experience working with sales teams on negotiations with customers and partners.
- Good knowledge of enterprise software licensing models, including subscription and on-premise licensing models.
- Experience negotiating agreements with resellers, VARs, OEMs, or other distribution partners is an asset.
- In-house (corporate) experience preferred, or law firm experience representing technology or software companies.
- Excellent contract drafting and negotiation skills, with the ability to identify legal risks and propose pragmatic solutions.
- Strong communication and interpersonal skills, with the ability to advise non-legal stakeholders effectively.
- Ability to manage multiple matters simultaneously and work independently in a dynamic environment.
- Member in good standing of a relevant bar association.
