Job Description
Commercial Legal Counsel leading SaaS contracting across LATAM for insurance and financial services. Balancing legal rigor and commercial agility in a remote role.
Responsibilities:
- Draft, review, and negotiate complex SaaS, cloud, licensing, and professional services agreements with insurers and financial institutions across LATAM, ensuring clear, balanced risk allocation and deal acceleration.
- Advise on LATAM data privacy and security obligations (including cross-border data transfers), and align contractual positions with Guidewire’s platform, AI, and data strategies.
- Provide practical, business-oriented guidance to Sales, Finance, Product, Security, and Operations stakeholders on commercial and regulatory issues affecting our cloud and AI-enabled offerings.
- Support cross‑border transactions involving LATAM and North American jurisdictions, coordinating with internal and external counsel to harmonize contract terms and regulatory requirements.
- Help develop and refine contract playbooks, templates, fallback positions, and training materials that improve consistency, speed, and data-driven decision-making in commercial negotiations.
- Partner with revenue and finance teams to ensure commercial terms support scalable, platform-based pricing and revenue recognition models aligned with company VPMOM priorities.
- Monitor developments in regional data privacy, insurance, and financial services regulation, and convert complex legal changes into clear guidance and enablement for business teams.
Requirements:
- Demonstrated ability to embrace AI and apply it to your current role as well as data-driven insights to drive innovation, productivity, and continuous improvement.
- Qualified attorney (or local equivalent) with a minimum of 2 years of post-qualification experience in commercial contracting, preferably with technology or SaaS clients.
- Strong experience drafting and negotiating SaaS, cloud, licensing, and/or professional services agreements, ideally involving enterprise or regulated customers.
- Solid understanding of data privacy principles and their application to cloud and AI-enabled services in LATAM; comfort engaging on cross-border data transfer issues.
- Spanish at a professional level and fluent English, with the ability to explain complex legal concepts clearly to non‑lawyers in both languages.
- Proven ability to balance legal risk with commercial pragmatism, exercising sound judgment under time pressure in a fast-paced, evolving regulatory environment.
- Collaborative mindset with excellent stakeholder management skills and experience working with geographically distributed teams.
- Strong organizational skills with the ability to manage multiple high-priority matters simultaneously and meet deadlines with high-quality output.
