Job Description
In-House Corporate Counsel negotiating and managing commercial agreements for Axway. Advising on legal matters and partnering with leadership in a global software company.
Responsibilities:
- Oversees, prepares and negotiates legal documents including software licenses, services agreements, vendor contracts, and nondisclosure agreements.
- Privacy and security experience with data protection agreements and similar agreements.
- Manages the legal activities of the company with the objective of protecting the company's interests and providing assistance to managers concerning how laws and regulations impact their functional areas.
- Manage all documents through the legal process.
- Prepares and reviews proposed contracts, formal agreements and other legal instruments.
- Manages license compliance, audits of customers.
- On a daily basis manages all software licensing activities and software contract activities.
- Partners closely with Sales and other internal teams (including Sales, Finance, and Operations) with respect to legal matters and contract disposition.
Requirements:
- J.D. from an accredited law school
- Active membership in good standing with a U.S. state bar
- At least 2 years of software licensing and commercial contracting experience
- Strong negotiation, communication, and business partnership skills
