Job Description
General Counsel leading global legal, risk and compliance for Eftsure’s SaaS fraud prevention platform. Advising executives and the Board across commercial, regulatory, privacy and M&A matters.
Responsibilities:
- Act as a trusted legal and strategic advisor to the CEO, Board and Executive Leadership Team
- Lead Eftsure's Legal, Risk and Compliance functions across the United States, APAC and Europe
- Provide practical commercial advice across corporate and commercial law, technology contracts, partnerships, privacy and data protection, employment law, intellectual property and other business matters
- Review, draft and negotiate complex commercial agreements, including customer, software licensing, vendor, employment and confidentiality agreements
- Own the company's legal and regulatory risk approach, including frameworks, policies and controls
- Keep the Executive Leadership Team and Board informed about emerging legislation and regulatory developments
- Lead and support M&A and other corporate transactions, including due diligence, deal structuring and post-transaction integration
- Support Board and corporate governance activities, including Board materials, resolutions and corporate secretarial requirements
- Oversee data privacy, cybersecurity and broader legal and regulatory compliance
- Manage litigation, disputes and claims and oversee external counsel relationships
- Build scalable legal infrastructure, including contract templates, negotiation playbooks, workflows and processes
Requirements:
- A Juris Doctor (JD), or regional equivalent, from an accredited law school
- Active membership in good standing with at least one US state bar
- 15+ years' post-qualification legal experience, including significant in-house experience, ideally within SaaS, fintech or technology
- Previous experience as a General Counsel or senior legal leader
- Experience leading both senior and junior legal professionals
- Experience within a scaling, venture-backed or PE-backed global technology business
- Strong experience across commercial contracting, corporate law, privacy, data protection and cybersecurity
- Experience advising a Board and senior executives on complex legal, governance and risk matters
- Experience supporting M&A and corporate transactions
- Ability to operate effectively across multiple jurisdictions, particularly the United States, APAC and Europe
- Exposure to ISO 27001, ISO 27701 and SOC 2 frameworks is highly regarded
- Fluency in another language, particularly French, is advantageous but not required
