Job Description
Corporate Counsel at Human Interest responsible for corporate governance and compliance transactions. Joining a dynamic legal team in a fintech company focused on retirement security with a mission-driven approach.
Responsibilities:
- Join a legal team as the second corporate attorney, reporting to the Assistant General Counsel
- Support governance for Human Interest Inc. and its subsidiaries
- Manage board and stockholder actions, cap table and equity matters
- Collaborate with Finance and People teams on executive compensation and equity administration
- Oversee corporate finance activities, IPO readiness, and manage outside counsel on complex transactions
- Negotiate and execute commercial agreements, support M&A and strategic transactions
- Build scalable legal processes and playbooks
Requirements:
- J.D. from an ABA-accredited law school
- Active member of at least one U.S. state bar
- 4+ years of corporate and securities experience, including in-house work at a high-growth company
- Experience with equity administration, corporate governance for multi-entity structures, and a range of sophisticated financing arrangements.
- Familiarity with public company reporting, regulated industries, and integration of AI tools into legal operations
