Job Description
Corporate Lawyer advising EcoVadis, a business sustainability ratings provider, on U.S. commercial transactions, compliance, and governance. Negotiating SaaS agreements and guiding Americas Sales on legal risks.
Responsibilities:
- Provide legal support for transactional, compliance, and governance matters
- Serve as lead lawyer on legal requests and provide legal advice
- Advise on contract risks and commercial solutions while balancing business and legal objectives
- Draft, review, and negotiate commercial agreements, including SaaS agreements, contract addenda, NDAs, termination letters, and other customer-facing documents
- Maintain contract templates and oversee internal approval workflows
- Collaborate with insurance brokers on contractual endorsements
- Provide ongoing legal training to the Americas Sales Team
- Monitor regulatory developments, assess implications and risks, and recommend actions
- Collaborate on adoption and integration of AI-powered legal technology tools
- Coordinate external legal counsel support
- Perform other duties as reasonably needed and directed by Senior Management
Requirements:
- Juris Doctor (J.D.) from an American Bar Association accredited law school
- 10 years of experience as a U.S. practicing transactional lawyer, including at least 3 years of SaaS negotiations
- Active license to practice law in the United States
- Excellent interpersonal, verbal, and written communication, negotiation and contract drafting skills
- Ability to correspond professionally and be approachable with legal advice tailored appropriately to the audience, both across EcoVadis and with contracting counterparty legal representatives
