Job Description

General Counsel leading legal, compliance, and governance for AAPC, a healthcare training, certification, and solutions association. Advising executives and managing corporate legal operations across departments.

Responsibilities:

  • Provide accurate, relevant, and timely counsel on legal issues affecting or potentially affecting the business
  • Represent AAPC on legal matters and other business interests
  • Source, manage, and optimize the use of external counsel
  • Draft, review, and negotiate commercial contracts and agreements with employees, clients, partners, vendors, institutions, and governments
  • Coordinate and assist with corporate governance matters involving the Board of Directors, lenders, regulatory bodies, and banking entities
  • Attend Board meetings and assist with Board minutes and resolutions
  • Manage and mitigate legal risks through company policies, procedures, and best practices
  • Ensure compliance with domestic and international laws and regulations applicable to the business
  • Provide legal counsel on employment law, mergers and acquisitions, and compliance
  • Monitor legislative changes affecting the business and industry
  • Maintain confidentiality of sensitive and protected information
  • Report to the CEO, serve on the Executive Management Team, and lead AAPC’s corporate legal function across departments

Requirements:

  • J.D. degree required
  • Licensed and admitted member of the Utah bar in good standing
  • At least 7 years of legal experience as inside counsel
  • Strong experience with all facets of business/corporate law
  • Experience with healthcare and/or education industries is a plus
  • Strong analytical and problem-solving skills
  • Superlative communication skills
  • Ability to find fast, optimal solutions to complex problems
  • Well-organized and hard-working
  • Ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline press
  • Legally authorized to work in the United States
  • Must not require employment visa sponsorship now or in the future
