Job Description
VP, Legal at a healthcare automation technology company responsible for managing legal matters and negotiating enterprise agreements. Shaping legal foundations while supporting regulatory compliance in the healthcare sector.
Responsibilities:
- Own end-to-end negotiation of complex enterprise agreements—including MSAs, BAAs, DPAs, and security addenda—with large health systems and pharmacy organizations; build scalable contract templates to enable a fast-moving GTM team; navigate procurement processes at large institutions without sacrificing deal velocity; advise on deal structure, risk allocation, and escalation paths
- Serve as the company’s legal resource on HIPAA, BAAs, data privacy, and related healthcare regulations; advise the company on how legal and regulatory requirements impact our platform, customer relationships, and contracting; partner with Security, Compliance, Product, and Engineering to support adherence to applicable compliance standards; monitor the evolving healthcare regulatory landscape and proactively identify legal and regulatory risks; and provide counsel on issues involving liability, breach response, reporting obligations, and regulatory inquiries.
- Manage ongoing corporate governance and board-related legal matters; support future fundraising rounds including coordination with outside counsel on financing, cap table, and investor agreements; manage entity-level legal hygiene and corporate records
- Partner with People/HR on employment agreements, offer letters, equity, and policy matters; advise on hiring, performance, and separation matters across a growing team; help build a legally sound, people-first employee experience
Requirements:
- 8-12 years of legal experience, with a mix of top-tier law firm training and in-house experience at a high-growth technology company
- Healthcare Compliance Experience (familiarity with HIPAA, privacy, and the broader regulatory environment that health systems operate within)
- Proven track record negotiating complex enterprise contracts—MSAs, BAAs, DPAs, security addenda—with large, sophisticated counterparties; experience navigating institutional procurement processes at health systems or similarly complex organizations is a strong plus
- Experience supporting venture-backed companies through financing rounds, board governance, and corporate legal matters
- Comfortable being the only lawyer in the room—a pragmatic problem-solver, not a bottleneck; strong business judgment and the ability to give clear, actionable guidance under uncertainty
