Job Description
Associate General Counsel advising Finalsite, a K–12 EdTech platform serving 7,000+ schools, on SaaS, commercial, privacy, and corporate legal matters. Partnering with executives and cross-functional teams to manage risk and enable growth.
Responsibilities:
- Serve as a trusted legal advisor on commercial transactions to senior leadership and cross-functional business partners
- Draft, review, negotiate, and advise on commercial and technology agreements, including SaaS, customer and vendor, licensing, payment processing, data-related, confidentiality, partnership, and other complex agreements
- Lead legal support for complex commercial negotiations
- Provide legal guidance on data privacy and security and support the company’s global privacy program
- Monitor privacy, technology, and regulatory requirements and translate developments into actionable business guidance
- Partner with Sales, Finance, Technology, Product, HR, Operations, and other functions to identify legal risks and develop practical solutions
- Advise business teams on contractual obligations, interpretation, compliance, and risk
- Support mergers and acquisitions, including due diligence, transaction execution, integration, and corporate matters
- Provide counsel on customer disputes and collection matters, including managing outside counsel when appropriate
- Develop and improve templates, playbooks, and contracting practices
- Support contract lifecycle management and other Legal department technology
- Handle sensitive and confidential matters with sound judgment and discretion
- Manage multiple complex matters independently, accountably, and urgently
- Support the Chief Legal Officer & General Counsel on strategic initiatives, special projects, and other legal matters
Requirements:
- Juris Doctor (JD) from an accredited law school
- Active membership in good standing with the bar of at least one U.S. jurisdiction
- 8–10+ years of progressively responsible legal experience, with significant in-house experience strongly preferred
- Experience supporting a SaaS, software, technology, or similarly complex business environment
- Significant experience drafting and negotiating sophisticated commercial and technology transactions
- Strong knowledge of SaaS agreements, software licensing, data privacy, data security, and technology-related legal issues
- Experience advising senior executives and business leaders on complex legal, commercial, and risk matters
- Experience supporting M&A transactions, corporate matters, litigation, or regulatory compliance is strongly preferred
- Combination of top-tier law firm and in-house technology/SaaS experience is preferred
- Exceptional legal judgment and ability to provide clear, actionable recommendations
- Strong business acumen and understanding of commercial and strategic objectives
- Executive presence and credibility with senior leaders
- Highly skilled negotiator for complex, high-stakes commercial matters
- Strong written and verbal communication skills
