Job Description
Corporate Counsel contractor supporting Finalsite’s K–12 EdTech platform. Drafting payment processing, merchant, SaaS, vendor, and partnership agreements while managing regulatory risk.
Responsibilities:
- Draft, review, and negotiate customer payment processing, merchant, sponsor bank, SaaS, vendor, and partnership agreements
- Audit existing merchant, customer, vendor, and sponsor bank agreements
- Identify and address regulatory requirements in customer, merchant, and bank agreements
- Conduct legal research on emerging payment processing issues, regulatory updates, and best practices
- Collaborate with sales, product, engineering, and HR to provide timely legal guidance
- Maintain accurate and organized legal records and databases
- Support commercial and transactional legal matters across functional areas
- Ensure compliance, minimize risk, and enable business growth
Requirements:
- Juris Doctor (JD) from an accredited law school
- Licensed and in good standing with at least one U.S. state bar
- 7–10 years of legal experience, preferably in-house or with a law firm
- Direct, hands-on drafting and negotiation experience with customer-facing payment processing, merchant, and SaaS agreements
- Experience or in-depth knowledge of standard contractual provisions relating to payment processing, merchant agreements, and SaaS services
- Payments/fintech transactional experience, including merchant processing agreements, ISO/payment facilitator agreements, and sponsor bank agreements
- Familiarity with card network rules, including PCI/DSS, KYC/AML, and PSD2
- Sound commercial judgment regarding liability and indemnity terms in payment processing agreements
- Ability to work within pre-approved risk parameters and escalate matters appropriately
- Working familiarity with money transmitter licensing and BSA/AML concepts
- Detail-oriented with superior organizational skills
- Ability to manage multiple projects in a fast-paced environment
- Effective communication and strong interpersonal skills
- Current and continued residency in the United States required
