Job Description

Director leading CloudLinux’s acquisition and partnership pipelines for its global Linux infrastructure and security business. Building deal models, guiding diligence, integrations, and financing strategy.

Responsibilities:

  • Build and maintain acquisition and partnership pipelines aligned with company strategy
  • Monitor markets and competitive landscapes and identify thesis-driven targets
  • Cultivate relationships with investment bankers, brokers, industry advisors, founders, owners, lenders, and investors
  • Design, maintain, and apply standardized opportunity screening and scoring methodologies
  • Prepare initial evaluations, valuation models, deal models, scenario and sensitivity analyses, synergy assessments, and financing analyses
  • Coordinate financial, legal, technology, leadership, culture, reputation, and counterparty due diligence
  • Translate counterparty findings into retention, earnout, indemnification, and escrow recommendations
  • Support deal structuring and negotiation and prepare leadership and board materials
  • Track completed transactions against original deal theses and report variances
  • Build transaction and integration budgets and incorporate acquisition impacts into forecasts and annual operating plans
  • Support capital allocation analysis across competing uses of cash
  • Own post-close integration plans, including 100-day plans, workstream coordination, blocker escalation, financial integration, and synergy tracking
  • Identify and structure strategic alliances, joint ventures, distribution, supply, and OEM agreements
  • Maintain the company's 3-to-5-year growth blueprint with the CEO, CFO, and CPO
  • Support debt and equity financing, including private placements, secondary transactions, and credit facilities
  • Establish corporate development playbooks, screening criteria, deal templates, and pipeline infrastructure
  • As the function grows, hire, coach, and develop team members

Requirements:

  • 8+ years of combined experience across corporate development, investment banking, private equity, and/or transaction advisory, including direct origination experience
  • Experience conducting or coordinating due diligence across the financial, legal, and human dimensions of a transaction
  • Ability to build institutional-quality financial models from a blank workbook, including three-statement, valuation, and scenario models
  • Experience preparing and presenting analysis to executive or investment-committee audiences, and defending recommendations under challenge
  • Working knowledge of software or recurring-revenue business models and governing metrics
  • Exposure to post-merger integration
  • Experience structuring strategic alliances, joint ventures, or major commercial agreements
  • Exposure to debt or equity financing processes, including private placements, secondary transactions, or credit facilities
  • Experience contributing to multi-year strategy work with senior leadership
  • Even temperament under pressure and friction
  • Low ego and persistence through repetitive, detail-heavy deal work
  • Sound commercial judgment
  • Attention to detail and commitment to quality and data integrity
  • Effective, concise, and well-organized communication and presentation skills
  • Strong interpersonal and collaboration skills across all management levels
  • Discretion with confidential and market-sensitive information
  • Integrity and accountability
  • MBA would be an asset
  • Big Four transaction advisory and/or software industry experience would be an asset
  • Prior experience founding or being the first hire of a finance or corporate development function would be a significant asset
  • Established network among software-sector bankers, brokers, or founders would be a significant asset
  • FP&A partnership or operating experience would be an asset
