Job Description
Legal Counsel managing SaaS contracts, privacy, IP, and legal operations for Seqera, a scientific data-workflow company. Supporting global teams as the company scales.
Responsibilities:
- Own day-to-day in-house legal work, primarily contracts
- Report to the fractional Head of Legal and own an independent legal desk
- Draft, review, and negotiate customer agreements, MSAs, DPAs, SaaS terms, NDAs, partner contracts, and vendor contracts
- Run deals with Sales and Revenue from first draft through signature, escalating complex issues
- Develop and maintain contract templates, fallback positions, and playbooks
- Advise on contract interpretation and risk
- Review procurement, vendor, and advisor contracts
- Establish and operate contract lifecycle management, including repository, naming, version control, renewal, and expiry tracking
- Automate routine legal work, including self-serve NDAs, approval routing, and clause libraries
- Report on contract volumes, cycle times, and open matters
- Assist with entity management, corporate filings, and board documentation
- Support equity, compensation, and cap table-related processes with Finance and People
- Maintain internal policies and compliance frameworks
- Support audit readiness and regulatory requirements across jurisdictions
- Provide legal input for customer security and procurement reviews
- Support data privacy and data protection work with IT & Compliance and the external DPO
- Partner with Security and Engineering on compliance initiatives
- Maintain records of processing, DPAs, and the sub-processor list
- Handle day-to-day IP, licensing, and open source licensing questions
- Partner with Product and Engineering on new features to ensure legal and regulatory alignment
Requirements:
- 3–6 years of post-qualification experience
- Qualified to practise law in a relevant jurisdiction
- Hands-on commercial contracting experience, ideally in SaaS, tech, or high-growth environments
- Experience negotiating commercial agreements independently
- Exposure to at least one area beyond contracting: privacy, corporate, IP, or compliance
- Working knowledge of GDPR
- Experience in a startup, scale-up, or international business environment
- Venture capital experience highly preferred
- Strong commercial judgment and ability to balance risk and opportunity
- Ability to operate in ambiguity and make pragmatic decisions quickly
- Hands-on, execution-focused approach and willingness to build from scratch
- Strong stakeholder management and communication skills
- Highly organized and process-oriented
- Fast, responsive, autonomous, proactive, practical, and solutions-driven
- Nice to have: experience supporting global distributed teams
- Nice to have: familiarity with legal tech, CLMs, and AI-enabled workflows
- Nice to have: exposure to life sciences, biotech, or data-driven platforms
