Job Description

Managing M&A tax diligence for Intrinsic’s private-equity transaction advisory practice. Leading transaction risk analysis, deal structuring, and practice-building for PE sponsors.

Responsibilities:

  • Build and lead Intrinsic’s M&A tax diligence capability within Transaction Advisory Services
  • Own the tax diligence workstream across multiple concurrent transactions from scoping through delivery
  • Serve as lead tax advisor on complex buy-side and sell-side transactions for private equity sponsors and middle-market businesses
  • Evaluate entity structures, intercompany arrangements, and historical filing positions
  • Analyze federal income tax, state and local tax, employment tax, sales/use tax, and unclaimed property exposures
  • Develop concise tax diligence reports and translate analyses into recommendations for purchase price adjustments, escrow requirements, indemnification protections, and representations and warranties
  • Advise on tax-efficient structuring of corporate and flow-through transactions
  • Coordinate with financial due diligence teams, legal counsel, valuation professionals, client deal professionals, finance teams, controllers, and external tax advisors
  • Develop tax diligence methodology, templates, checklists, and report frameworks
  • Codify technical insights, deal lessons, and emerging tax developments into reusable intellectual capital
  • Identify cross-sell opportunities with TAS and FAAS leadership
  • Present complex tax findings and advise PE deal teams, CFOs, and legal counsel
  • Build the tax diligence team and establish the practice’s intellectual capital

Requirements:

  • 15+ years of progressive M&A tax experience, transaction tax advisory, or tax due diligence
  • Experience at a Big 4 firm, Big Law firm, national advisory practice, or specialized tax consultancy
  • Significant exposure to middle-market PE-backed transactions
  • Deep technical expertise in complex corporate and flow-through tax structuring
  • Proven track record leading complex, high-stakes transactions
  • Expertise in entity classification, tax-efficient structuring, partnership and pass-through taxation, nexus and apportionment, transaction cost analyses, and preservation and optimization of tax attributes
  • Experience identifying and quantifying transaction-related tax risks and opportunities
  • Experience preparing detailed tax due diligence reports and presenting findings to sponsors, investors, and deal teams
  • Extensive experience assessing state and local tax risks, including nexus determinations, apportionment methodologies, sales and use tax exposure, unclaimed property compliance, and voluntary disclosure considerations
  • JD/LLM in Taxation, CPA, or equivalent credential strongly preferred
  • Ability to communicate complex tax positions in plain-English terms
  • Ability to navigate competing priorities across deal teams, management, auditors, and legal advisors
  • Ability to develop methodology, templates, and playbooks
  • Ability to hire, provide feedback, create stretch opportunities, and develop people
