Job Description
Senior Paralegal & Back-Office Manager at Valiant Funds supporting legal operations and investment offerings with focus on corporate governance and securities matters.
Responsibilities:
- Reporting directly to the General Counsel and Chief Legal Officer, supporting the legal department both in day-to-day business operations and legal matters, as well as in connection with securities and other product offerings.
- Assist in drafting and reviewing offering disclosure documents, subscription agreements, and other securities disclosures
- Reviewing private placement memorandums for private offerings
- Preparing, revising, and maintaining corporate governance documents, including operating agreements, partnership agreements, shareholder agreements, and other entity-related documents
- Conducting legal and regulatory research, especially relating to securities and tax matters
- Preparing, organizing, and maintaining closing documents, fund flows, SEC filings, due diligence files, closing binders, and capitalization tables
- Track deadlines and manage project timelines across multiple offerings
- Work with Broker Dealer in coordinating document collection, execution, and signature logistics across parties
- Interface with clients professionally while managing follow-up and execution tasks
- Work with Venture.co on the establishment of offerings on its online platform and manage investor closings
- Coordinate with 3rd-party report providers
- Coordinate with the accounting firm for all work related to investor tax documentation
- Work with partners and investors with ongoing communication and any necessary filings
Requirements:
- Minimum 7 years of paralegal experience, ideally in securities, tax, or corporate law
- Prior work supporting attorneys handling sophisticated and complex legal matters, in either major law firms, a large corporate legal department, or highly specialized boutique practices.
- Experience with drafting, securities disclosures, subscription materials, and securities filing support
- Mastery of document formatting, version control, and legal editing conventions
- Strong research skills using Westlaw, EDGAR, and IRS/Treasury databases
- Excellent verbal and written communication skills
- Experience using corporate and legal practice tools (e.g., MS Office, Zoom, Clio, NetDocuments, DocuSign)
- Above-average editing and drafting capabilities defined by exceptional attention to detail
- Highly self-directed person with big picture reasoning skills and critical thinking skills who is adaptable and capable of making connections and foreseeing possibilities across multiple dealings.
