Job Description

In-House Legal Counsel role at Succession Resource Group supporting financial services transactions. Involves drafting contracts and ensuring legal compliance for client engagements.

Responsibilities:

  • Provide legal counsel and support to SRG's project teams and senior leadership, focusing on corporate documents within the financial services industry.
  • Support client engagements and enhance the firm’s deliverables.
  • Provide legal support on transaction execution, including mergers and acquisitions, succession planning, and deal structuring.
  • Draft and/or review contracts with a focus on corporate and securities-related agreements.
  • Partner closely with project teams to assist in developing tailored, legally sound solutions.
  • Oversee day-to-day legal workflows and provide guidance to a paralegal.
  • Ensure compliance with applicable securities laws, regulations, and industry standards.
  • Identify, assess, and mitigate legal risks associated with SRG’s business activities and client engagements.
  • Oversee corporate governance practices, policies, and documentation.
  • Develop and deliver training on legal, regulatory, and compliance matters.

Requirements:

  • Juris Doctor (JD) degree and active bar membership in the United States.
  • Extensive experience (typically 6+ years) in corporate or transactional law, with exposure to financial services or securities-related matters.
  • Strong background in corporate law, M&A, succession planning, employment law, equity sharing, and business formation strategies.
  • Experience overseeing legal workflows or supporting junior staff, including cross-functional collaboration.
  • Strong analytical, communication, and leadership skills.
  • Adaptability and the ability to thrive in a dynamic and changing business environment.
  • Problem-solving skills and a results-oriented mindset.
  • Working knowledge of securities law and regulations, as well as corporate law matters.
  • Strong verbal and written communication.
  • Utilization of AI-driven technologies to streamline processes and enhance deliverable accuracy.
