Job Description
In-House Legal Counsel role at Succession Resource Group supporting financial services transactions. Involves drafting contracts and ensuring legal compliance for client engagements.
Responsibilities:
- Provide legal counsel and support to SRG's project teams and senior leadership, focusing on corporate documents within the financial services industry.
- Support client engagements and enhance the firm’s deliverables.
- Provide legal support on transaction execution, including mergers and acquisitions, succession planning, and deal structuring.
- Draft and/or review contracts with a focus on corporate and securities-related agreements.
- Partner closely with project teams to assist in developing tailored, legally sound solutions.
- Oversee day-to-day legal workflows and provide guidance to a paralegal.
- Ensure compliance with applicable securities laws, regulations, and industry standards.
- Identify, assess, and mitigate legal risks associated with SRG’s business activities and client engagements.
- Oversee corporate governance practices, policies, and documentation.
- Develop and deliver training on legal, regulatory, and compliance matters.
Requirements:
- Juris Doctor (JD) degree and active bar membership in the United States.
- Extensive experience (typically 6+ years) in corporate or transactional law, with exposure to financial services or securities-related matters.
- Strong background in corporate law, M&A, succession planning, employment law, equity sharing, and business formation strategies.
- Experience overseeing legal workflows or supporting junior staff, including cross-functional collaboration.
- Strong analytical, communication, and leadership skills.
- Adaptability and the ability to thrive in a dynamic and changing business environment.
- Problem-solving skills and a results-oriented mindset.
- Working knowledge of securities law and regulations, as well as corporate law matters.
- Strong verbal and written communication.
- Utilization of AI-driven technologies to streamline processes and enhance deliverable accuracy.
