Job Description

Senior Corporate Secretarial Executive managing Singapore corporate secretarial services for businesses and entrepreneurs. Remote Malaysia-based contractor handling client portfolios, compliance, filings, and corporate records.

Responsibilities:

  • Manage a portfolio of clients and provide a full range of corporate secretarial services
  • Handle company incorporations, registration of foreign branches and representative offices, and company strike-offs
  • Prepare directors' and shareholders' resolutions and other corporate documents
  • Handle share allotments, share transfers, and amendments to company constitutions
  • Ensure compliance with the Singapore Companies Act and relevant regulatory requirements
  • Conduct periodic KYC and CDD reviews, including reviews for higher-risk clients
  • Manage AGM reminders and ensure timely filing of Annual Returns
  • Maintain statutory registers, minutes books and corporate records
  • Prepare documentation for board meetings and AGMs, including meeting minutes where required
  • Act as Corporate Secretary for clients' companies where applicable
  • Maintain professional relationships with clients and handle ongoing corporate secretarial matters
  • Supervise and review the work of junior team members
  • Support team operations and departmental automation projects
  • Perform other related duties as assigned

Requirements:

  • Degree holder
  • Qualified Individual, such as a member of ICSA, ICAS, or CSIS
  • Minimum 3 years of relevant corporate secretarial experience
  • Strong knowledge of Singapore corporate secretarial practices, the Companies Act, and regulatory requirements
  • Able to independently manage a portfolio of clients
  • Client servicing experience would be an advantage
  • Intermediate knowledge of SentroWeb
  • Organised, detail-oriented and able to meet deadlines
  • Comfortable working independently in a remote environment
  • Strong command of spoken and written English and Mandarin, as the role involves communication with Mandarin-speaking clients
  • Experience supervising or reviewing junior team members' work would be an advantage
